1. GENERAL PROVISIONS
These Terms of Service (the “Terms”) govern the access to and use of the website, content, features, and e-commerce services provided by Sparkslette (hereinafter referred to as the "Company," "we," "us," or "our"). The Company is legally registered in the People’s Republic of China, with its principal place of business at 北村路101号, 奉贤区, SH, 201416, CN. Our Services are powered by Shopify, which provides the underlying e-commerce platform.
By visiting our site or purchasing products from us, you (the "Customer" or "User") agree to be bound by these Terms, including those additional terms, conditions, and policies referenced herein. These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, or contributors of content.
2. ELIGIBILITY AND ACCOUNT SECURITY
Age of Majority: By agreeing to these Terms, you represent that you are at least the age of majority in your jurisdiction of residence. For customers residing in the United Arab Emirates, this is strictly defined as twenty-one (21) Gregorian years. Use of the Services by minors is permitted only under the direct supervision of a parent or legal guardian who agrees to be bound by these Terms.
Account Integrity: You are responsible for maintaining the confidentiality of your account credentials. You agree to provide current, complete, and accurate purchase and account information for all transactions. The Company reserves the right to refuse service, terminate accounts, or cancel orders at its sole discretion if fraudulent or inaccurate information is detected.
3. PRODUCT SPECIFICATIONS AND DISCLAIMERS
The Company specializes in the sale of mock, fashion, and imitation jewellery. By interacting with our Services, the Customer acknowledges the following:
Material Representation: Unless explicitly stated in the product description, our items are not composed of solid precious metals (e.g., solid gold or silver) or genuine gemstones. Materials primarily include base metals, alloys, synthetic stones, and metallic plating.
Skin Sensitivity: Mock jewellery may contain alloys that cause skin irritation or allergic reactions (e.g., contact dermatitis) in certain individuals. The Company disclaims all liability for medical conditions, allergic reactions, or skin discoloration resulting from the use of our products.
Product Appearance: We attempt to display product colors and images accurately; however, we cannot guarantee that your device’s display will accurately reflect the physical product.
Tarnishing and Wear: Due to the high humidity and environmental conditions prevalent in the Middle East, mock jewellery is susceptible to oxidation and tarnishing. Such occurrences are considered natural wear and tear and do not constitute a manufacturing defect.
4. ORDERS AND CONTRACT FORMATION
Offer and Acceptance: The display of products on our website constitutes an "invitation to treat." Your order represents an offer to purchase, which is only accepted by the Company upon the issuance of a shipping confirmation email.
Order Limitations: We reserve the right to limit the sales of our products to any person, geographic region, or jurisdiction (including specific restrictions within the GCC). We may exercise this right on a case-by-case basis.
Personal Use Only: Products purchased from Sparkslette are for personal use only. Commercial resale, redistribution, or export for profit without express written consent from the Company is strictly prohibited.
5. PRICING, INTERNATIONAL TAXES, AND CUSTOMS
Pricing Currency: Prices are typically displayed in USD or AED. The Company is not responsible for currency conversion fluctuations or fees charged by your financial institution.
Importer of Record: Since the Company ships from the People’s Republic of China, the Customer is officially designated as the "Importer of Record."
VAT and Duties: Unless expressly stated at checkout, prices do not include local Value Added Tax (VAT), import duties, or customs clearance fees levied by UAE or Middle Eastern authorities. It is the Customer’s sole legal responsibility to settle these charges with the relevant local authorities upon arrival of the shipment. Failure to pay these fees, resulting in the return of the item, will render the order ineligible for a full refund.
6. SHIPPING, DELIVERY, AND RISK OF LOSS
Logistics: All orders are dispatched from our facilities in China. While we provide estimated delivery windows, these are not guaranteed. The Company is not liable for delays caused by international couriers, customs inspections, or regional holidays.
Transfer of Risk: Risk of loss and title for the merchandise pass to the Customer immediately upon our delivery of the goods to the common carrier (e.g., DHL, FedEx, Aramex).
7. INTELLECTUAL PROPERTY RIGHTS
All content included on the site, such as text, graphics, logos, images, digital downloads, and jewellery designs, is the exclusive property of Sparkslette or its content suppliers and is protected by the intellectual property laws of the People’s Republic of China and international copyright treaties. You may not extract, utilize, or reproduce any part of our website or product designs for commercial purposes without our prior written authorization.
8. PROHIBITED USES AND "AGENT" ACTIVITY
In addition to other prohibitions set forth in these Terms, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to infringe upon our intellectual property rights; (d) to upload or transmit viruses; or (e) to use any "Agent," automated tool, or AI-driven scraping mechanism to access our data without identification. We reserve the right to terminate your use of the Service for violating any of the prohibited uses.
9. LIMITATION OF LIABILITY
To the maximum extent permitted by the laws of the PRC and the UAE:
The Company, our directors, officers, and employees shall not be liable for any injury, loss, claim, or any direct, indirect, incidental, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, or replacement costs, arising from your use of any of the services or any products procured using the service. Our total liability to you for any claim arising out of the purchase of products shall not exceed the actual amount paid for the product in question.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Sparkslette and our parent, subsidiaries, affiliates, partners, and Shopify from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms of Service or your violation of any law (including tax and import laws) or the rights of a third party.
11. PRIVACY AND DATA PROTECTION
Your submission of personal information through the store is governed by our Privacy Policy. We process data in compliance with the Personal Information Protection Law (PIPL) of the PRC and, where applicable, the UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection. By using our Services, you consent to the cross-border transfer of your data required to process international orders.
12. GOVERNING LAW AND DISPUTE RESOLUTION
Governing Law: These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the People’s Republic of China.
Dispute Resolution: Any dispute arising out of these Terms shall first be attempted to be resolved via amicable mediation. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the courts in the district where the Company is headquartered in China.
Consumer Rights: Notwithstanding the above, the Company acknowledges the mandatory consumer protection rights of UAE residents under Federal Law No. 15 of 2020. Any provision herein that directly contradicts a non-waivable statutory right under UAE law shall be deemed modified only to the extent necessary to comply with said law.
13. SEVERABILITY AND ENTIRE AGREEMENT
In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms. This determination shall not affect the validity and enforceability of any other remaining provisions.
